Parent Association statues (2011)

§1 Name and registered address

 
1.      The Association is called „Elternvereinigung der Europäischen Schule Karlsruhe“ (ESK)and is registered at the Amtsgericht Karlsruhe. The Association carries the suffix „e.V.“
2.      The registered address of the Association is Karlsruhe.
3.      The working year runs from January 1st to December 31st.
 
§2 Aims and Tax exemption status
 
(1)       The Association’s aim is the advancement of the upbringing and education of ESK pupils.
(2)       The articles of the Association are realised especially through
            1. representing the interests of ESK parents and pupils, especially in
                        (a) the Educational Council and the Administration Council of ESK
                        (b) at Interparents
                        (c) at the Board of Governors of the European Schools and such groups
(d) in local, state and international authorities
            2. the advancement of pupils in areas of sport, culture, art/music through the organisation           of After-school Activities by the Association.
            3. through arrangements to further the social contact between parents and other members           of the school community or between the ESK school community and other schools       especially in
(a)   organising educational or art events
(b) the publication of information about the school, school life and the Association
(c)   organising festival events
(d) the support of school events and programmes for pupil exchanges between different schools, especially the various European Schools.
            4. the representation of parents in the affairs of school transport and canteen.
            5. the administration of the Social Fund for families who find themselves with financial problems which impact their ability to finance a school event or school trip for their           children.
(3)       The Association may also act as a fund-raising association with tax privileges according to         §58, Nr 1 AO.
(4)       1. The Association’s sole objective is non-profitable in respect of the section        “steuerbegünstigte Zwecke” of the tax code.
            2. The Association is altruistic; it does not have its own primary business objectives.
 
§3 Members and Membership
 
1        All parents and legal guardians of pupils of the European School Karlsruhe may be full members of the Association.
2        The managerial Committee can furthermore, invite ordinary or legal people who are interested in the aims of the Association to become associated members. The associated member has no voting rights, but otherwise has the same rights as the full members.
3        The membership is granted through enlistment in the Association. Submission of written application is required. The application is dealt with by the president of the Association.   Acceptance into the Association is decided by the Committee. The membership becomes effective after the membership fee has been paid.
 
§4 Termination of membership
 
Membership is terminated when:
 
1        Written notice is given by the member. This can be at any time.
2        The membership fee is not paid by the day of that year’s General Assembly. Exclusion due to important reasons. The exclusion is decided after the proposal from the Committee at the members’ General Assembly.
 
§5 Membership fee
 
The amount for the membership fee is established by the General Assembly for the coming year.
 
 
 
§6 The Institutions of the Associations
 
These are:
·          The managing committee
·          The General Assembly
 
§7 The Managing Committee
 
1        The managing committee consists of at least seven and not more than seventeen members and are elected according to the voting procedure of Parents’ Association members. The committee should represent all the existing language sections of the European School Karlsruhe. There should be a reasonable proportion of language section representatives to number of pupils in the respective section. Every section should have at least one member representative. The roles of the After-school Activity coordinator, canteen representative and transport representative are independent of any language section.
2        Committee members are elected for a 2 year period. Every year, half the committee members are elected so that there is never a complete change of committee members in one single year. Every member may be re-elected to sit on the committee after the 2 year period ends. Voting of members for the PA committee takes place at the General Assembly which is held at the beginning of the new school year.
3        If a committee member wishes to stand down during the 2 year period, a co-opted member (a substitute) is chosen, who may then be elected at the next General Assembly following the normal procedures.
 
§8 The management board and directors.
 
1        The management committee is responsible for all the tasks of the Association. The management and administration of the Association are incumbent on the committee. In accordance to the stipulations in the statues of the European Schools and the General Rules of the European Schools, the committee elects two members from within the committee with the agreement of the board of directors to represent the parents at the Administration board of the European School Karlsruhe. In accordance to the stipulations of the general rules of the European Schools members from the committee are representatives of the parents at the Education Council meetings as well as any other committees in which the Parents’ Association have representation.
2        Every year the management committee elects with a majority from within the committee members, a president and a vice-president and a treasurer (the bureau). The elected members can be re-elected. If any of the Board of Directors wishes to stand down before the end of the year, a member of the committee must be co-opted (substituted) who will take over all the duties of that Board member for the remainder of the year until a new bureau is elected.
3        The management committee can take over a part or the total of the power of the Bureau.
4        a) If it is necessary, because the president cannot attend for any reason, the vice-president can preside over the committee meetings. They are obliged to convene a meeting when a third or more of the committee members call for a meeting in writing.
b) The management committee constitutes a quorum when at least a half plus one of the members are present. The quorum can make a decision with a simple majority. If there is a tie, the president has the casting vote.
c) The management meetings will follow the appropriate protocol.
 
§9 Proxy representation
 
1        The president and the vice-president represents the Parents’ Association
2        They are authorised to solely represent the Parents’ Association
 
§10 General Assembly
 
1.      The General Assembly takes place at the beginning of the school year and the annual report and the financial report of the previous year is presented and the aims and goals of the coming year are introduced.
2.      If a minimum of ¹⁄₁₀ of the members request in writing for a meeting to be called, then a general assembly will be convened.
3.      Members will receive an invitation to the general assembly at least 8 days before as well as the agenda for the meeting.
4.      If the president cannot preside at the meeting for whatever reason, the vice-president will take their place.
5.      For the passing of resolutions and the electing of committee members, written protocols must be followed that are signed by the president and/or the vice-president or secretary.
6.      Every full member may arrange a proxy vote after following the proper written procedure. A person can hold up to 3 proxy votes.
7.      Each family only has one vote. A resolution is carried with a simple majority. If there is a tie, the president has the casting vote. The general assembly is a quorum regardless of the number of members present and resolutions may be passed with a simple majority.
8.      The general assembly regulate the affairs of the Association as long as they do not go against the management committee.
 
            The General Assembly is responsible for:
   dissolving the management committee
   electing the new committee members
   changes in the statues
   establishing the membership fee
   dissolving the Association
   approve the accounts and budget plan.
 
§ 11 Financial Audit
 
The Association orders a financial audit every year, to be carried out by someone who is not a member of the Association and who will present an audit report. The Auditor is authorised to check the financial books and the full receipts. He prepares a report for the management committee complete with receipts of the previous year and the budget plans for the coming year.
 
§ 12 Changes to the statues
 
(1)   Except in the case of article §10, parts 3 and 7, changes to the statutes can only be made after one month’s written notice and with ¾ majority when taken to the vote. A written vote is allowed.
(2)   Furthermore, the Board of Directors can unanimously decide on enrolment ability or the recognition of the charitable tax-exempt status of the Association as necessary.
 
 
§ 13 Dissolving of the Association
 
With the dissolution of the Association or the discontinuation of its tax-privileged objectives, all of its funds will be transferred to the ESK where they will be used exclusively for limited charitable purposes only.
